From the first assessment to the final terms, Copper Key represents the business owner.

Assess. Approach. Negotiate. Coordinate.

01

Assess

Understand your records, ownership and potential buyer fit.

Begin with a high-level inventory. We assess potential fit, rights questions, preparation cost and demands on your team. You receive a written summary and next steps. No confidential records are needed to explore fit.

02

Approach buyers

Present an approved description to relevant buyers and compare interest.

You approve the buyers and description before outreach. Where practical, we test interest without naming your company. Identity, samples and detailed records require separate approval and appropriate safeguards.

03

Negotiate

Work through price, payment, exclusivity and commercial usage terms.

When proposals exist, you receive a written comparison of payments, success fees, expected preparation costs, rights, workload and conditions. We negotiate commercial terms; counsel handles legal advice.

04

Coordinate closing

Keep diligence moving with your team, counsel and technical specialists.

You decide whether to sign. Delivery, acceptance and payment responsibilities are set out in the agreement.

THE WHOLE DEAL

More than a price.

Price and future deliveries

Compare the initial payment and any separate fees for future records. Ongoing income must be negotiated.

Payment and refunds

Clarify acceptance conditions, payment dates, holdbacks and any repayment rights before signing.

Exclusivity

Understand whether the agreement limits licensing to other buyers, for which records and for how long.

Scope and permitted uses

Define the systems, records, years and fields included, along with training, evaluation, resale and duration rights.

Ownership and liability

Independent counsel reviews licensing rights, software restrictions, confidentiality and responsibility if something goes wrong.

Preparation and delivery

Agree who exports, reviews and prepares records, what it costs and what the buyer must accept.

Copper Key coordinates commercial negotiation. Your attorney provides legal advice. You approve the final agreement.

PREPARATION RESPONSIBILITIES

Commercial expertise.
Buyer-managed preparation.

Copper Key handles commercial representation. Where available, the buyer manages extraction, de-identification and formatting.

We prioritize counterparties that prepare records at their expense. Before you proceed, we confirm responsibilities, costs and demands on your team. This must be agreed for your particular systems and transaction.

Independent technical work, if needed, requires a separate scope and your approval. Copper Key does not provide engineering or record-preparation services.

SHARING IN STAGES

Explore first.
Share only what is needed.

A high-level description

Start with your systems, history and workflows. No raw records or credentials are needed.

Approved buyer discussions

Where a buyer’s process allows, test interest with a description that does not identify your company. You approve outreach and any disclosure of identity.

Defined diligence and delivery

Share samples or detailed records only with separate approval and appropriate safeguards. Counsel reviews the legal boundaries, and technical specialists assess preparation and security.

Preparation and outreach require a separately agreed scope. An initial inquiry does not authorize either.

QUESTIONS, ANSWERED

Before you get started.

How much could the business earn?

There is no standard payout. Price depends on buyer demand, usable record volume, quality, context and the rights offered. We seek actual buyer offers so you can weigh the proceeds, fees and preparation costs before deciding.

Is this a one-time payment or ongoing income?

An agreement may cover an initial set of records, with separate payments for future updates if negotiated. Payment can depend on delivery and acceptance. The contract sets the timing, and ongoing income is not guaranteed.

Will every company qualify?

No. Buyer demand, usable history, quality and permission to license all matter. An assessment does not guarantee an offer.

How much work will this take?

Start with a short business description. If there is interest, we identify what your team would need to provide before you commit. Timing and effort vary by deal.

Who prepares the records?

Copper Key handles commercial representation, not record preparation. Where available, the buyer manages extraction, de-identification and formatting. We prioritize these arrangements and confirm responsibilities, costs and demands on your team before you proceed. Any independent technical work requires a separate scope and your approval.

Do you provide legal advice?

No. We negotiate commercial terms and coordinate the process. Your independent attorney reviews legal rights, obligations and the licensing agreement.

Can the same records be licensed to multiple buyers?

Potentially, if your rights and each agreement allow it. Exclusivity and restrictions must be reviewed before approaching additional buyers.

What happens if no deal closes?

No success fee is due unless you receive covered proceeds under your engagement agreement. Separately approved legal or technical costs may still be payable.
